Terms and Conditions

Definition

The term ‘company’ used throughout these terms and conditions refers to Hacel Lighting Ltd.

‘WEEE’ refers to the Waste Electrical and Electronic Equipment Directive (or WEEE Directive), a European Community Directive, numbered 2012/19/EU enacted in the UK as Waste Electric and Electronic Equipment (WEEE) Regulations 2013.

‘EE’ refers to electronic equipment.

‘EEE’ refers to electrical and electronic equipment.

‘AATF’ refers to Approved Authorised Treatment Facilities retained by the company through the Producer Compliance Scheme.

‘B2B end user’ refers to a company, business, other purchasing entity or user that may own or otherwise be responsible for the WEEE directly replaced by the Company’s products covered by these Terms and Conditions.

 

Orders

All orders are accepted subject to the Company’s normal trading terms. The Company reserves the right to accept or refuse orders, cancel any uncompleted orders or to suspend delivery in the event of any of the purchaser’s commitments to the Company not being met. Orders received and accepted by the Company cannot be cancelled without the prior written agreement of the Company. An order cancellation charge may be imposed on any cancelled order. 

 

Specification

The Company makes every effort to ensure the accuracy of the information contained on our website and technical literature. However, as our policy is one of continual improvement, we reserve the right to amend specifications without notice.

i. The Website (https://www.hacel.co.uk) constitutes the entire catalogue of standard products available for purchase with variants, where accepted, considered to be special orders (‘specials’).

ii. Product information either on screen or downloadable as technical PDFs or their formats may change without notice.

iii. Images are for illustration only and may be subject to change without notice.

iv. The Company manufactures all products to specific orders for every contract. As such, they are non-returnable unless faulty. If a product is found to be faulty, please refer to the Company’s Warranty and notify in writing or by email to customer services immediately in order to obtain an authority to return (RMA – please see Returns section below).
 

 

Copyright

All products, registered names, drawings and descriptions may not be reproduced in any form whatsoever without the prior written consent of the Company. 

 

Samples

Samples supplied by the Company or at a client’s request will be subject to our standard terms and conditions. We will however issue a full credit if the goods are returned to ourselves in pristine condition (including packaging) within 30 days from the date of invoice. The Company will not be responsible for carriage charges incurred with respect to sample items. 

 

Specials

Orders for variations to our standard products or ‘Specials’, are ordered and supplied on a strictly non-returnable and non-cancellable order basis. On no account will the Company accept returns in full or partial quantities. Light fittings in any colour other than our standard colours of white, black or urban graphite will also be deemed as specials. 

 

Prices and Carriage

All prices quoted are in accordance with the Company’s current price list ruling at the date of despatch. Prices will be quoted in writing upon request. All prices quoted exclude VAT at the appropriate rate. Unless otherwise agreed prices do not include carriage. All orders are subject to a carriage charge as agreed with the company unless collected. 

 

Packaging

Goods are normally packed for UK delivery only. The Company will not be responsible for international freight packaging without prior consultation and written agreement. 

 

Delivery

All delivery dates are given in good faith and are subject to the availability of materials. The Company shall not be liable for any costs or damages incurred or accrued from non-delivery of the goods by a specified date. The Company reserves the right to recover any carriage and handling charges incurred if goods are delivered and subsequently refused. We reserve the right to make partial deliveries of specific orders at no extra cost unless otherwise instructed to the contrary in writing. 

 

Loss or Damage in Transit

Losses or damages incurred by either the Company’s transport or by a carrier appointed by the company will be replaced or repaired at the Company’s discretion providing the Company receives notification within 48 hours of receipt of the goods by the purchaser. This applies whether the goods are delivered to the purchaser or to a site address. 

 

Credit

The Company will only supply goods to approved credit holders and we reserve the right to take up references before any credit account is opened. Failure to comply with the Company’s credit terms may result in deliveries being withheld until any outstanding monies are received. Retention of title for these goods supplied remains with the Company until all payments have been made. In the case of late payment interest will be charged at 8% plus the Bank of England base rate per annum from the date the account becomes overdue. 

 

Warranty

The Company offers a comprehensive warranty on manufactured products – Please see the Product Warranty for details. 

 

Consequential Loss

The Company will under no circumstances be held liable for any consequential loss suffered by the purchaser. The Company will not consider claims, damages or expenses arising out of any omission, breach of contract or statutory duty ascertained by reference to profits, income, production and/or labour costs on a time basis. 

 

Returns

Goods older than 30 days from date of invoice will not be accepted for return. Returns will not be accepted without prior written authorisation from the Company complete with the Company’s returns note reference. All returned goods must be accompanied by a customer advice note stating date and number of invoice and reason for return. The product and packaging must be in pristine condition. A credit or replacement will only be issued after the goods are inspected at the Company’s premises and only at the discretion of the Company. A handling charge will be deducted from any credit when it is confirmed that the return was not caused by an error on the part of the Company. Where returns are agreed it is the customer’s duty to ensure goods are adequately packaged and insured to avoid possible loss or damage during transit. All goods will be returned at customer’s expense unless otherwise agreed in writing. 

 

WEEE

The Company will finance collection, treatment, recycling, recovery and environmentally sound disposal of EEE produced by it from a B2B end user of this EE when it is discarded as WEEE in the UK subject to the following: The B2B end user has proof of Obligated WEEE to be collected and it is in sufficient volume as to make its collection environmentally sustainable (This volume can be made up of both obligated and non-obligated WEEE). That the WEEE is transported under the end user’s arrangements to one of our selected AATF’s or the WEEE is taken back to the producers chosen WEEE collection point(s). Where there is no proof of Obligation WEEE collections will incur a charge from our producer compliance scheme.
